gouvernance op\u00e9rationnelle &#8211; Quand le d\u00e9salignement d\u00e9truit la valeur\u2026 et comment le remettre en coh\u00e9rence<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Il apparait parfois que les difficult\u00e9s des entreprises ne viennent ni du march\u00e9, ni des \u00e9quipes, ni m\u00eame de la strat\u00e9gie.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Elles viennent d\u2019un endroit plus discret, plus structurel et tr\u00e8s syst\u00e9mique&nbsp;: l\u2019existence d\u2019un <strong>d\u00e9salignement entre la gouvernance strat\u00e9gique et la gouvernance op\u00e9rationnelle<\/strong>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Et quand cet alignement se fissure, les effets sont profonds \u2014 souvent invisibles au d\u00e9part, mais d\u00e9l\u00e9t\u00e8res \u00e0 moyen terme.<\/p>\n\n\n\n<h2 class=\"wp-block-heading has-medium-font-size\"><strong>Les sympt\u00f4mes silencieux du d\u00e9salignement<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Le conseil d\u2019administration, le PDG ou l\u2019organe de gouvernance strat\u00e9gique d\u00e9cide sans vraiment comprendre les contraintes du terrain ou encore d\u00e9finit une strat\u00e9gie ambitieuse sans que le syst\u00e8me de management soit structur\u00e9 pour la d\u00e9livrer.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Dans ces situation, le DG ou plus largement la gouvernance op\u00e9rationnelle est responsable des r\u00e9sultats\u2026 sans disposer de v\u00e9ritables marges de d\u00e9cision.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Ou inversement :<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Le DG fa\u00e7onne la strat\u00e9gie au quotidien par ses arbitrages op\u00e9rationnels, pendant que la gouvernance strat\u00e9gique valide a posteriori ce qui est d\u00e9j\u00e0 engag\u00e9.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Ces situations produisent plusieurs d\u00e9rives typiques :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Une <strong>atrophie du strat\u00e9gique<\/strong> : la vision devient d\u00e9corative, symbolique, sans v\u00e9ritable impact structurant.<\/li>\n\n\n\n<li>Une <strong>atrophie de l\u2019op\u00e9rationnel<\/strong> : les \u00e9quipes ex\u00e9cutent sans comprendre le sens global, ou subissent des d\u00e9cisions d\u00e9connect\u00e9es.<\/li>\n\n\n\n<li>Une <strong>confusion des r\u00f4les<\/strong> \u00a0: la strat\u00e9gie pense pour l\u2019op\u00e9rationnel ; l\u2019op\u00e9rationnel fabrique la strat\u00e9gie.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Ces d\u00e9rives s\u2019expriment par des effets visibles au quotidien&nbsp;:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Une dilution des responsabilit\u00e9s.<\/li>\n\n\n\n<li>Une fatigue manag\u00e9riale diffuse.<\/li>\n\n\n\n<li>Une perte de coh\u00e9rence globale.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Finalement, on pourrait dire que ce n\u2019est pas un probl\u00e8me d\u2019intention mais plut\u00f4t un probl\u00e8me d\u2019architecture.<\/p>\n\n\n\n<h2 class=\"wp-block-heading has-medium-font-size\"><strong>Gouverner n\u2019est pas g\u00e9rer<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">La gouvernance strat\u00e9gique (Conseil d\u2019administration, actionnaires, PDG selon les statuts) a pour responsabilit\u00e9 :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>D\u00e9finir la finalit\u00e9, l\u2019ambition<\/li>\n\n\n\n<li>Fixer le cadre de r\u00e9f\u00e9rence<\/li>\n\n\n\n<li>D\u00e9terminer les priorit\u00e9s structurantes<\/li>\n\n\n\n<li>Arbitrer les grands \u00e9quilibres (risque, investissement, horizon temporel)<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">La gouvernance op\u00e9rationnelle (DG, comit\u00e9 de direction, syst\u00e8me de management) a pour responsabilit\u00e9 :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Traduire la strat\u00e9gie en dispositifs concrets<\/li>\n\n\n\n<li>Organiser les ressources<\/li>\n\n\n\n<li>Arbitrer les tensions du r\u00e9el<\/li>\n\n\n\n<li>Piloter la performance et l\u2019ex\u00e9cution<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Lorsque ces deux niveaux sont confondus ou mal articul\u00e9s, l\u2019organisation se rigidifie ou se fragilise.<\/p>\n\n\n\n<h2 class=\"wp-block-heading has-medium-font-size\"><strong>Le risque naturel : l\u2019expansion du pouvoir<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Montesquieu \u00e9crivait :<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">\u00ab Tout homme qui a du pouvoir est port\u00e9 \u00e0 en abuser. \u00bb<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Dans les organisations, cela ne se manifeste pas toujours par de l\u2019abus volontaire.<br>Mais par une <strong>extension progressive des p\u00e9rim\u00e8tres<\/strong> :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>La strat\u00e9gie entre dans le d\u00e9tail op\u00e9rationnel.<\/li>\n\n\n\n<li>L\u2019op\u00e9rationnel contourne la strat\u00e9gie pour \u201cfaire avancer les choses\u201d.<\/li>\n\n\n\n<li>Les arbitrages se d\u00e9placent sans \u00eatre formalis\u00e9s.<\/li>\n\n\n\n<li>Les d\u00e9cisions r\u00e9serv\u00e9es ne sont plus clairement identifi\u00e9es.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Et peu \u00e0 peu, la fronti\u00e8re devient floue. C\u2019est une forme d\u2019agilit\u00e9 organisationnelle spontan\u00e9e et naturelle. Int\u00e9ressante mais \u00e0 regarder de pr\u00e8s car bien souvent cela devient un espace de tension.<\/p>\n\n\n\n<h2 class=\"wp-block-heading has-medium-font-size\"><strong>La cons\u00e9quence r\u00e9elle : perte de coh\u00e9rence et baisse d\u2019\u00e9nergie<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Quand les r\u00f4les ne sont pas clairs :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Les dirigeants passent plus de temps \u00e0 se justifier qu\u2019\u00e0 d\u00e9cider.<\/li>\n\n\n\n<li>Les comit\u00e9s deviennent des lieux d\u2019influence plut\u00f4t que des lieux d\u2019arbitrage.<\/li>\n\n\n\n<li>Les \u00e9quipes per\u00e7oivent les contradictions.<\/li>\n\n\n\n<li>La vitesse d\u00e9cisionnelle ralentit.<\/li>\n\n\n\n<li>L\u2019\u00e9nergie organisationnelle se disperse.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Et surtout :<br>la promesse faite aux clients, aux collaborateurs et aux partenaires devient difficile \u00e0 tenir.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">La coh\u00e9rence n\u2019est pas un concept th\u00e9orique.<br>C\u2019est une condition de performance.<\/p>\n\n\n\n<h2 class=\"wp-block-heading has-medium-font-size\"><strong>L\u2019espace solution : clarifier, formaliser, r\u00e9guler<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Une gouvernance mature ne cherche pas la perfection.<br>Elle cherche l\u2019ajustement permanent.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Trois leviers structurants permettent de restaurer l\u2019alignement.<\/p>\n\n\n\n<h3 class=\"wp-block-heading has-medium-font-size\"><strong>1. Clarifier les r\u00f4les et les redevabilit\u00e9s<\/strong><\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Qui d\u00e9cide quoi ?<\/li>\n\n\n\n<li>Qui est redevable de quoi ?<\/li>\n\n\n\n<li>Quels sont les domaines r\u00e9serv\u00e9s au strat\u00e9gique ?<\/li>\n\n\n\n<li>Quels sont les domaines d\u00e9l\u00e9gu\u00e9s \u00e0 l\u2019op\u00e9rationnel ?<\/li>\n\n\n\n<li>Quels sont les espaces partag\u00e9s ?<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Cette clarification doit \u00eatre \u00e9crite, formalis\u00e9e, accept\u00e9e et surtout partag\u00e9e.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Sans formalisation, les glissements sont in\u00e9vitables.<\/p>\n\n\n\n<h3 class=\"wp-block-heading has-medium-font-size\"><strong>2. D\u00e9finir les domaines de d\u00e9cisions r\u00e9serv\u00e9es<\/strong><\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Certaines d\u00e9cisions doivent rester au niveau strat\u00e9gique :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Evolution du mod\u00e8le \u00e9conomique<\/li>\n\n\n\n<li>Engagement financier structurant<\/li>\n\n\n\n<li>Transformation majeure<\/li>\n\n\n\n<li>Alliances strat\u00e9giques<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">D\u2019autres rel\u00e8vent clairement de l\u2019op\u00e9rationnel :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Organisation interne<\/li>\n\n\n\n<li>Priorisation des projets<\/li>\n\n\n\n<li>Allocation des ressources<\/li>\n\n\n\n<li>Pilotage quotidien<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">La confusion co\u00fbte cher.<br>La clart\u00e9 lib\u00e8re.<\/p>\n\n\n\n<h3 class=\"wp-block-heading has-medium-font-size\">3. <strong>Mettre en place des rituels de r\u00e9gulation<\/strong><\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Aucune architecture n\u2019est parfaite au d\u00e9part.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Il est impossible de tout pr\u00e9voir.<br>Et ce serait m\u00eame dangereux de le croire.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">C\u2019est pourquoi une organisation saine met en place des <strong>instances de r\u00e9gulation r\u00e9guli\u00e8res<\/strong> :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Revue des tensions entre strat\u00e9gique et op\u00e9rationnel<\/li>\n\n\n\n<li>Analyse des d\u00e9cisions qui ont d\u00e9bord\u00e9 du cadre initial<\/li>\n\n\n\n<li>Analyse des situations que la distribution initiale des r\u00f4les n\u2019avaient pas pr\u00e9vu<\/li>\n\n\n\n<li>R\u00e9examen des p\u00e9rim\u00e8tres de responsabilit\u00e9<\/li>\n\n\n\n<li>Ajustement des r\u00e8gles si n\u00e9cessaire<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Non pas pour sanctionner.<br>Mais pour r\u00e9aligner.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">La gouvernance devient alors dynamique.<\/p>\n\n\n\n<h2 class=\"wp-block-heading has-medium-font-size\"><strong>Une organisation vivante accepte son imperfection<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">L\u2019enjeu n\u2019est pas de figer les r\u00f4les une fois pour toutes.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">L\u2019enjeu est de cr\u00e9er un syst\u00e8me capable :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>D\u2019identifier ses d\u00e9s\u00e9quilibres<\/li>\n\n\n\n<li>D\u2019ajuster ses fronti\u00e8res<\/li>\n\n\n\n<li>De faire \u00e9voluer ses r\u00e8gles<\/li>\n\n\n\n<li>De renforcer sa transformabilit\u00e9<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Dans un environnement instable,<br>la qualit\u00e9 cl\u00e9 n\u2019est plus la rigidit\u00e9 strat\u00e9gique.<br>C\u2019est la capacit\u00e9 d\u2019alignement continu.<\/p>\n\n\n\n<h2 class=\"wp-block-heading has-medium-font-size\"><strong>Questions pour dirigeants et conseils<\/strong><\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>La strat\u00e9gie est-elle r\u00e9ellement traduite dans votre syst\u00e8me de management ?<\/li>\n\n\n\n<li>Le DG dispose-t-il d\u2019une autonomie claire ?<\/li>\n\n\n\n<li>Les d\u00e9cisions r\u00e9serv\u00e9es sont-elles formalis\u00e9es ?<\/li>\n\n\n\n<li>Vos comit\u00e9s sont-ils des lieux d\u2019arbitrage\u2026 ou des lieux de pouvoir informel ?<\/li>\n\n\n\n<li>Quand avez-vous, pour la derni\u00e8re fois, revisit\u00e9 la fronti\u00e8re entre strat\u00e9gique et op\u00e9rationnel ?<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading has-medium-font-size\"><strong>En conclusion<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Le d\u00e9salignement entre gouvernance strat\u00e9gique et gouvernance op\u00e9rationnelle ne fait pas de bruit au d\u00e9part.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Mais il \u00e9rode la coh\u00e9rence.<br>Et la coh\u00e9rence est la condition invisible de la performance durable.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Clarifier les r\u00f4les.<br>Formaliser les responsabilit\u00e9s.<br>Mettre en place des rituels de r\u00e9gulation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Ce n\u2019est pas bureaucratiser l\u2019organisation.<br>C\u2019est lui permettre d\u2019avancer avec lucidit\u00e9.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Une
